Public offer
Public offer agreement for digital product development services.
1. General
This document is a public offer by Individual entrepreneur Diana A. Tsygankova (the “Contractor”) setting out the terms for the development and support of digital products.
By submitting a request, approving the scope of work and/or paying for the services, the client (the “Customer”) fully and unconditionally accepts this offer and thereby enters into a service agreement.
2. Subject
The Contractor undertakes to provide services for the development of websites, landing pages, booking systems, process automation, mobile applications and other digital products, and the Customer undertakes to accept and pay for them.
The exact list, scope, price and timeline of the services are agreed individually based on the Customer's request and the approved brief, which becomes an integral part of the agreement.
3. Price and payment
Prices shown on the website are indicative. The exact price is set individually after the brief and fixed in the parties' correspondence or an issued invoice.
Payment is made as a prepayment or in stages: part at the start of the work and the remainder upon delivery, unless otherwise agreed. Payment is accepted by instant transfer, bank card or invoice.
4. Timeline
Timelines are agreed individually and start after payment (or a payment stage) is received and the Customer provides all required materials and information. Timelines may be extended by the time the Customer delays materials, feedback or approvals.
5. Acceptance of work
Upon completion of the work (or a stage), the Contractor presents the result. The Customer must review it and send comments or accept it within 5 (five) business days. If no reasoned comments are provided within this period, the services are deemed properly rendered and fully accepted.
6. Warranty and support
Within 14 (fourteen) calendar days after delivery, the Contractor fixes minor defects caused by its fault free of charge. Changes beyond the agreed scope are estimated and paid separately.
7. Liability
The parties are liable under applicable law. The Contractor's liability is limited to the amount actually paid for the services. The parties are released from liability in the event of force majeure.
8. Refunds
If the Customer cancels the services before the work begins, the prepayment is refunded in full. If cancelled after the work has started, the amount is refunded less the cost of the work actually performed.
9. Intellectual property
Exclusive rights to the result (website, design, source code) transfer to the Customer upon full payment. The Contractor may feature the result in its portfolio unless otherwise agreed.
10. Confidentiality
Personal data is processed in accordance with the Privacy Policy published on the website. The parties undertake not to disclose confidential information obtained while performing the agreement.
